TERMS OF USE — EVERCLOSE LOG

1. Parties

These Terms of Use govern the use of the EverClose Log platform, operated by EverCore Digital Systems Ltda, by its customers, users, partners, and representatives ("User").

By using the platform, the User declares awareness of and agreement with these Terms.

2. Scope

EverClose Log is a technology platform intended for:

  • freight quotation (RFQ)
  • transport contracting
  • real-time logistics tracking
  • operational and documentary cargo management
  • support for fiscal and operational compliance

EverClose acts exclusively as an intermediation and management platform and is not a carrier, shipper, or direct contractual party to the freight.

3. Registration and Access

Use of the platform depends on:

  • valid and approved registration
  • linking to a company (CNPJ)
  • use of personal and non-transferable credentials

The User is responsible for:

  • keeping data updated
  • ensuring access confidentiality
  • not sharing credentials

EverClose may suspend or terminate access in case of improper use.

4. Commercial Model and Billing

The platform may operate under different commercial models:

4.1 Marketplace

  • percentage-based charge on freight value
  • minimum and maximum values according to the current plan

4.2 Closed contract

  • monthly fee
  • usage allowance
  • overage charging

4.3 Add-ons

  • optional services charged separately
  • activation by company/contract

Prices and conditions are defined in the commercial proposal or contracted plan.

5. Platform Responsibilities

EverClose undertakes to:

  • make the platform available as contracted
  • maintain information integrity and security
  • record relevant operational events
  • provide technical support within agreed service levels

6. User Responsibilities

The User is responsible for:

  • truthfulness of inserted information
  • legal compliance of transport operations
  • proper platform use
  • correct submission of documents (NF-e, proofs, etc.)

EverClose is not responsible for:

  • user operational errors
  • inconsistencies in submitted documents
  • logistics decisions made outside the platform

7. Limitation of Liability

EverClose is not responsible for:

  • physical execution of transport
  • cargo damage, delays, or losses
  • default between shipper and carrier

The platform acts as a management and visibility tool, not as a party in the transport commercial relationship.

8. Intellectual Property

All platform content, including:

  • software
  • layout
  • brand
  • algorithms

is owned by EverCore Digital Systems Ltda, and reproduction without authorization is prohibited.

9. Security and Audit

The platform may record:

  • operational logs
  • tracking events
  • relevant interactions

These records may be used for:

  • audit
  • support
  • system improvement

10. Suspension and Termination

EverClose may suspend or terminate access in case of:

  • violation of these terms
  • improper use
  • operational or legal risk

11. Jurisdiction and Governing Law

These Terms are governed by Brazilian laws, especially the General Data Protection Law (LGPD).

The courts of the district where EverCore is headquartered are elected to resolve disputes.

SPECIFIC CLAUSES — SEFAZ / NfeIO (ADD-ON)

1. Nature of Service

The NF-e fiscal validation service is an optional add-on, made available through specific contracting.

This service uses integrations with external providers, including Nfe.io.

2. Purpose

Fiscal validation aims to:

  • verify the existence and regularity of the NF-e
  • support operational security
  • reduce fiscal and operational risks

3. Conditions of Use

The service:

  • will only be activated after contracting
  • may be configured per company
  • may be optional or mandatory in the operational flow

4. Costs

Use of the service may generate charges:

  • per consultation performed
  • according to the contracted plan

Costs include:

  • platform processing
  • third-party service consumption (for example NfeIO)

5. Limitations

EverClose does not guarantee:

  • continuous availability of SEFAZ services
  • absence of failures in external providers
  • legal validity of the NF-e beyond technical verification

6. Third-Party Dependency

The service depends on:

  • SEFAZ systems
  • integration providers

Possible unavailability of these systems:

  • is not controlled by EverClose
  • may temporarily impact the service

7. Client Responsibility

The client is responsible for:

  • ensuring legality of fiscal operations
  • using the service as support, not as the sole validation
  • checking compliance when necessary

8. Audit and Records

The platform may record:

  • performed consultations
  • validation results
  • operational metadata

These data may be used for:

  • audit
  • billing
  • support
